Vendor Agreement

This Vendor Agreement ("Agreement") governs your participation as a listed business ("Vendor," "you," or "your") on the Elite Grounds platform. By submitting a listing, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

1. Listing Submission and Approval

All business listings submitted to Elite Grounds are subject to review and approval by our team. The Platform reserves the right to reject or remove any listing at its sole discretion, with or without cause, and without prior notice.

Reasons for rejection or removal may include, but are not limited to:

  • Inaccurate, misleading, or fraudulent information
  • Inappropriate, offensive, or unprofessional content
  • Violation of any applicable laws or regulations
  • Failure to maintain required licenses or insurance
  • Customer complaints or negative feedback
  • Failure to comply with this Agreement or our Terms of Service
  • Any other reason at our sole discretion

2. Directory Status and Liability

IMPORTANT: Elite Grounds is a directory service only. The Platform is not a contractor, employer, agent, or partner of any Vendor. Elite Grounds assumes no liability whatsoever for services rendered, work performed, or any actions taken by Vendors listed on the Platform.

You acknowledge and agree that:

  • You are an independent business operating separately from Elite Grounds
  • All contracts, agreements, and work arrangements are solely between you and your clients
  • Elite Grounds has no control over your work quality, pricing, scheduling, or business practices
  • You bear full responsibility for compliance with all applicable laws, regulations, and licensing requirements

3. Vendor Representations and Warranties

By submitting a listing, you represent and warrant that:

  • All information provided is accurate, complete, and current
  • You hold all necessary licenses, permits, and certifications required by Massachusetts law
  • You maintain adequate liability insurance for your business operations
  • You have the legal authority to enter into this Agreement
  • Your business practices comply with all applicable federal, state, and local laws
  • You will promptly update your listing if any information becomes inaccurate

4. Content Standards

All content submitted for your listing must:

  • Be professional, accurate, and appropriate for a business directory
  • Not contain profanity, offensive language, or inappropriate content
  • Not infringe on any third party's intellectual property rights
  • Not include false or misleading claims about your services or qualifications
  • Accurately represent your business and the services you provide

5. Membership Tiers and Fees

Elite Grounds offers multiple membership tiers (Standard, Select, and Elite) with varying features and fees. By subscribing to a paid tier, you agree to:

  • Pay all applicable fees on time according to your selected billing cycle
  • Understand that fees are non-refundable except as required by law
  • Accept that tier benefits may be modified with reasonable notice
  • Maintain an active payment method on file for recurring subscriptions

6. Indemnification

You agree to indemnify, defend, and hold harmless Elite Grounds, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your listing content or business operations
  • Any services you provide to clients found through the Platform
  • Your violation of this Agreement or any applicable law
  • Any dispute between you and your clients

7. Termination

Either party may terminate this Agreement at any time. Upon termination:

  • Your listing will be removed from the Platform
  • Any prepaid fees for unused subscription periods may be forfeited
  • You must cease using any Elite Grounds trademarks or materials
  • Provisions that by their nature should survive termination will remain in effect

8. Modifications

Elite Grounds reserves the right to modify this Agreement at any time. We will provide notice of material changes by email or through the Platform. Your continued participation after modifications constitutes acceptance of the revised Agreement.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the Commonwealth of Massachusetts. Any disputes arising from this Agreement shall be resolved through binding arbitration in Boston, Massachusetts, in accordance with the rules of the American Arbitration Association.
